a)Words & Phrases—Meaning of—
“Cooperative”, Meaning of—“Co-operative” Societies (also Known as cooperative or coop) is an autonomous association of persons united voluntarily to meet their common economic, social and cultural needs and aspirations through a jointly owned and democratically controlled enterprise—Co-operatives are based on values of self-help, self- responsibility, democracy, equality, equity and solidarity and in the tradition of their founders, Co-operative members believe in the ethical values of honesty, openness, social responsibility and caring for others.
BASIS OF COOPERATIVES. PRINCIPLES UPON WHICH COOPERATIVES ARE BASED?
b) COOPERATIVES— PRINCIPLES
1. Voluntary and Open Membership
Cooperatives are voluntary organizations, open to all persons able to use their services and willing to accept the responsibilities of membership, without gender, social, racial, political or religious discrimination
2. Democratic Member Control
Cooperatives are democratic organizations control by their members, who actively participate in the setting their policies and making decisions. Men and women serving as elected representatives are accountable to the membership. In primary cooperative members have equal voting rights (one member one vote) and cooperatives at other levels are also organized in a democratic manner.
3. Member Economic Participation
Members contribute equal to, and democratically control, the capital of their co-operative. At least part of that capital is usually the common property of the cooperatives. Members usually receive limited compensation, if any, on capital subscribed as a condition of membership. Members allocate surpluses for any or all the following purposes: Developing their cooperatives, possibly by setting up reserves, part of which at least would be indivisible; benefitting members in a proportion to their transactions with the co-operative; and supporting other activities approved by membership.
4. Autonomy and Independence:
Cooperatives are autonomous, Self- help organizations controlled by their members. If they enter into agreement with other organizations, including governments, or raise capital from external sources, they do so on terms that ensure democratic control by their members and maintain their cooperative autonomy;.
5. Education Training and Information
Co-operatives provides education and training to their members, elected representatives, managers, and employees so they can contribute effectively to the development of their co-operatives. They inform the general public- Particularly young people and opinion leaders- about the nature and benefits of cooperation.
6) Cooperation amongst Co-operatives
Cooperatives serve their members most effectively and strengthen the cooperative movement by working together through local, national, regional, and international structures.
7. Concern for Community
Cooperatives work for the sustainable development of their communities through policies approved by their members.
NATURE, SCOPE AND OBJECT OF THE REGULATION OF THE COOPERATIVE SOCIETIES UNDER COOPERATIVE SOCIETIES ACT, 1925
C) Cooperative Societies Act, 1925
Cooperative Societies Act, 1925 provides for the formation, registration and regulation of the cooperative societies for the promotion of thrift, self-help and mutual assistance amongst agriculturalists or other person with common economic or social interests and for achieving better standard of living and for the matters connected therewith and incidental thereto— while a cooperative Society enjoyed it democratic independence , the government, in order to ensure that the cooperative principles were not compromised or overlooked, regulates it affairs and such regulation by the government under the cooperative societies act, 1925 was not to satisfy the voluntary character and democratic spirit behind a cooperative society but was to safeguard the foundational cooperative principles, at work, behind any cooperative society.
D) Power of Registrar to give Directions Under Section 44-D of the Cooperative Societies Act, 1925
—–Ss. 44-D & 16-A—-Constitution of Pakistan, Art. 199——Constitutional Jurisdiction of High Court— Power of Registrar to give Directions Under Section 44-D of the Cooperative Societies Act, 1925— Directions of registrar under S. 44-D of the Cooperative Societies Act, 1925 to a cooperative society to adopt model election rules as byelaws—-Parameters for exercise of powers under section 44-D of the Cooperative Societies Act, 1925—Judicial review of such directions issued by the registrar under section 44-D of the Cooperative Societies Act, 1925—Scope—Cooperative societies Act, 1925 did not provide for any appellate or remedial forum, for the cooperative society to challenge the directions issued under section 44-D of the Cooperative Societies Act, 1925 and in absence of any other remedy, directions could be judicially reviewed by the High Court on the touchstone of the parameters given for the exercise of such directions under section 44-D of the Cooperative Societies Act, 1925—Direction of the registrar under section 44-D of the Cooperative Societies Act, 1925 was structured on the basis of following parameters: Public interest or to prevent the affairs of any society from being conducted in a manner detrimental to the interest of its members or depositors of the society or to secure the proper management of any society generally and bylaws of a cooperative society if the same were in fact based on the directions of the registrar under section 44-D of the Cooperative Societies Act, 1925 then the same along with the proposed amendments by the society could be reviewed and examined on the said criteria—-When directions of the registrar has assumed the status of by-laws, the same could be amended at any stage by the members of the society under S. 16A of the cooperative societies Act, 1925 and as the bye-laws could be amended at any stage, so could a direction under section 44-D of the Cooperative Societies Act, 1925 if the same had a bearing on the by-laws of the society —High Court had observed that a cooperative society was an ever evolving democratic association of persons and could be the best judge to reconsider, modernize or alter its governance structure at any stage, in accordance with laws and therefore a society was free to amend its bye-laws as a part of its evolutionary process and by the same token, a direction which directs the society to adopt Model bye-laws could also be judicially reviewed at any stage.
MEMBERS OF COOPERATIVE SOCIETY. EXPULSION OF MEMBER OF COOPERATIVE SOCIETY? HOW TO EXPEL THE MEMBER OF SOCIETY FROM MEMBERSHIP? (S. 17-B)
- A society may recommend to the Registrar to expel from its membership a member who is a persistent defaulter of the dues of the society or who commits any act prejudicial to the interests of the society:
Provided that the managing committee of the society shall, after affording the member an opportunity of hearing, place the matter before the general body of the society and approval thereof shall be communicated to the Registrar.
2. The Registrar may expel such a member from the society after affording him an opportunity of hearing.

—Art.199, 10-A, 23 & 24—Co-operative Societies Act (VII of 1925), S. 17-B—Constitutional Petition—Right to fair trial— Provision as to property—protection of property rights—Expulsion of a member of society—Opportunity of hearing—Scope—Petitioner defaulted in payment of outstanding dues regarding cost of land and development charges as such, respondents cancelled the plots by refunding the deposited amounts, which order was assailed through present petition—Validity—Minute reading of S. 17-B of the Co-operative societies Act, 1925, revealed that an opportunity of hearing was a must rather one was deadly committer of default—In petitioner’s case said proviso was missing, as admittedly the respondent had been issuing notices to the petitioner but he had not been afforded an opportunity of hearing, prior to cancellation of even provisional allotment of plots—-Action of respondents had infringed petitioner’s fundamental right of holding property as provided under Art. 23 of the Constitution as well as undermined protection of his property rights as guaranteed by Art. 24 of the Constitution — More so, the actions of respondents had seriously jeopardized the constitutional protection of due process of law provided under Art.10- A of the constitution —Respondents had clearly breached the fundamental rights of the petitioner provided and protected under the constitution— Cases was sent back to the Secretary Cooperatives for decision afresh after affording an opportunity of hearing to the petitioner—Constitutional petition was disposed of accordingly.
APPEAL AGAINST THE AWARD OF THE ARBITRATOR, POWER OF REGISTRAR AND THE PROVINCIAL ASSEMBLY
Any Party Aggrieved can file appeal Before Registrar against the order passed by the arbitrator within one month of the order (S. 59)
Any party aggrieved by any decision of the registrar’s nominee made under section 54 of the Act, or order passed under Section 55 by the nominee of the registrar or arbitrator may within one month of the award or order appeal to the registrar and the registrar shall decide the appeal.
Appeal against the Order of the Registrar (S. 64)
Any party aggrieved by any order or decision of or sanctioned by the registrar under section 10, 16, 45, 47, 50, 50-A, [54 or sub section (3) of section 54-A] may be made by any party aggrieved or affected by order or decision to the [ Provincial Government ] within two months of the date of communication of the Order.
Power of the Provincial Government and the Registrar to call for proceedings of Subordinates Officers and to pass order thereon (S. 64-A)
The Provincial Government and the Registrar may call for and examine the record of any inquiry or proceeding of any officer subordinate to them for the purposes of satisfying themselves as to the legality or propriety of the decision or order passed and as to the regularity of the proceedings of such officer. If in any case, it shall appear to 172[172][the Provincial Government] or the Registrar that any decision or order or proceedings so called for should be modified, annulled or reversed, 173[173][the Provincial Government] or the Registrar, as the case may be, may pass such order thereon as to it or him may seem fit.

—Ss. 56,59,64 & 64-A—Cooperative Societies Rules, 1927, R. 32—Housing Society—Allotment—Award—Revisional Jurisdiction—Plot allotted to petitioner by housing society was cancelled on account of non- payment of dues, which was further allotted to subsequent allottee. Subsequent allottee preferred appeal which was decided by registrar cooperative (Registrar) directing the respondent society to compensate the present petitioner by allotting an alternate plot, Which was not implemented— petitioner filed application for execution certificate during pendency whereof respondent society preferred appeal/ revision for suspension of earlier orders, which was decided by Minister for law and parliamentary affairs, Government of Sindh(Government) setting side of orders of the registrar and award of nominee of the registrar— Government of Sindh directed the registrar to appoint other suitable nominee for giving award. Petitioner impugned said order of Government of Sindh—Held, that appeal was already preferred by subsequent allottee before Registrar, therefore, proceedings filed by the respondent society before government could not be treated as an appeal and revision both for the reasons firstly, that S. 64 of cooperative societies Act, 1925, did not provide a second appeal from appellate order passed under S.56 of Act, 1925; Secondly, that Government while passing impugned order treated the proceeding as revision— Such proceeding was filed and order in appeal was passed after six months from passing said appeal— If original order/ award passed in arbitration proceeding was not challenged by respondent society, the same could not be questioned by filling a revision under S. 64 A of Act, 1925—Lease could not have been concealed in arbitration proceeding but the lease was overturned in decision of “Registrar in appeal by keeping intact the leasehold rights of subsequent allottee and directing respondent society to give alternate plot to the petitioner; Findings given in arbitration was maintained which attained finality hence, could not have been interfered with in the purported revisional jurisdiction exercised by Government —Invoking revisional jurisdiction under S. 64A was void ab-initio—impugned order passed by “Government’’ was coram non judice and nullity in the eyes of law, hence, quashed— Plea of laches has also become meaningless— Constitutional Petition was accepted accordingly.
NATURE OF DISPUTES COVERED UNDER THE COOPERATIVE SOCIETIES ACT 1925
- Dispute Touching the Business of Society? (S. 54)
- Notice necessary in suits? (S. 70)
1)Dispute Touching the Business of Society (S. 54)
If any dispute touching the business of a society (other than a dispute regarding disciplinary action taken by the society or its committee against a paid servant of the society) arises–
(a) Between members or past members of the society or persons claiming through a member or past member, or
(b) Between members or past members or persons so claiming and any past or present officer, agent or servant of the society, or
(c) Between the society or its committee, and any past or present member of the society, or
(d) Between the society or its committee, and any past or present officer, agent or servant of the society, or a surety of such officer, agent or servant, whether such surety is or is not a member of the society
It shall be referred to the Registrar for decision by himself or his nominee, or if either of the parties so desires, to arbitration of three arbitrators who shall be the Registrar or his nominee and two persons of whom one shall be nominated by each of the parties concerned
2)Notice necessary in suits (S.70)
No suit shall be instituted against a society or any of its officers in respect of any Act touching the business of the society until the expiration of two months next after notice in writing has been delivered to the Registrar, or left at his office, stating the cause of action, the name, description and place of residence of the plaintiff and the relief which he claims; and the plaint shall contain a statement that such notice has been so delivered or left.

—Ss. 54 & 70—Phrase “touching the business of society”—Scope— Nature of disputes covered under the cooperative societies act 1925, has been specified in the clauses (a) to (e) of S. 54 of Cooperative Societies Act, 1925, which all related to disputes regarding internal affairs of a society in between its members or of members with society or its committees— Both Ss. 54 & 70 of cooperative societies Act, 1925, are limited to disputes regarding “business of the society’ —Said phrase appears in different provisions of the same statute, as a role it is to be assigned the same meaning— Section 70 of the Cooperative Societies Act, 1925, though does not make reference to S. 54 of cooperative societies Act, 1925, but without relating to the latter, issuance of notice would be meaningless —two months wait period provided under section 70 of cooperative societies Act, 1925, is to be enable the registrar to resolve the dispute— Only provision in of cooperative societies Act, 1925, provide for suspension of proceedings, if the registrar is of the opinion that disputes involves complicated question of law and facts, which can be decided only through a regular suit. Only reasonable construction consistent with the scheme and purpose of of cooperative societies Act, 1925, would be to limit application of S. 70 of of cooperative societies Act, 1925, to matters falling under S.54 of of cooperative societies Act, 1925
70—Notice to Registrar—Scope—Provisions of S. 70 of cooperative societies Act, 1925,does not apply to all suits instituted against society or any of its officers, it is restricted to suits in respect of any act touching the business of society’

—Ss. 54 & 56—- Constitution of Pakistan (1973), Art. 185 (3)— Arbitration—Opportunity of Hearing— Affidavit in Evidence, Non- Filing of—Arbitrator closed case of Society by not allowing representative of society to file affidavits in evidence, which order was set aside by appellate authority and case was remanded. Order passed by the appellate authority and case was remanded—Order passed by appellate authority was maintained by High Court— Validity—Case of society could not have been closed for want of filling affidavits, as the same were required only to avoid delay and were beneficial only if accepted by the opposite party and if not, the deponent had to be cross examined—For all intents and purposes affidavits was substitute of examination in chief—Even if affidavits were not earlier filed, arbitrator could have recorded examination in chief of the representative and thereafter he could have offered himself for cross examination —Closure of evidence of society was neither in accordance with law nor justice thus appellate authority had rightly remanded the case to arbitrator for deciding the matter after recording of evidence of society—Supreme Court declined to interfere in judgment passed by High Court—Leave to appeal was refused.
RIGHTS AND LIABILITIES OF MEMBERS? INQUIRY AND INSPECTION OF THE AFFAIRS OF THE SOCIETY?
- No rights of membership to be exercised till due payments are made. (S. 17)
No person shall exercise the rights of a member of a society unless or until he has made such payment to the society in respect of membership, or acquired such interest in the society as may be prescribed by the rules or the by-laws of such society
2. Inspection of Affairs of Society (S. 43)
Who may Inquire & Inspect the affairs of the Society? (S. 43)
- The Registrar may of his own motion by himself or by a person duly authorized by him in writing in this behalf hold an inquiry into the constitution, working and financial condition of a society.
- The Registrar shall hold such an inquiry as is contemplated in sub-section (1) of this section– (a) on the requisition of a society, duly authorized by rules made in this behalf to make such requisition, in respect of one of its members, such member being itself a society, b) on the application of a majority of the Committee of the society, (c) on the application of 1/3rd of the members of the society.
- All officers and members of the society whose affairs are investigated shall furnish such information in their possession in regard to the affairs of the society as the Registrar or the person authorized by the Registrar may require.
- The result of any inquiry under this section shall be communicated to the society whose affairs have been investigated.

—R, 17 & Second Sched.— cooperative societies Act, (VII of 1925), Ss. 43 & 44-E— Constitution of Pakistan, Art. 139(3)—Chief Minister’s inspection team (CMIT)—Functions and Jurisdiction—Determination—Distribution of business among departments— inquiry by registrar of cooperative housing societies—- inspection of books of indebted society— Power of registrar in course of inspection or inquiry—-Special Measures—Conduct of business of Provincial Government—-Jurisdiction of the chief minister’s inspection team with regard to private complaint for which remedy is available under a statute.— Respondent filed an application against petitioner cooperative society before chief Minister, leveling allegations of fraud and corruption against the society and its management, in response to which, chairman, chief minister’s inspection team issued letter to member of CMIT to conduct inquiry into allegations and submit his report — petitioner contended that CMIT had no jurisdiction to conduct any such parallel inquiry, as the jurisdiction was vested with District Officer(Cooperative) who, having conducted inquiries on all such allegations, had already decided several similar complaints of the same respondent—Validity—Chief Minister’s inspection team was an independent department, whose basic function was to inspect government departments and government officers to ensure that they were doing their duties and functions efficiently and expeditiously—CMIT had jurisdiction to inspect a department, in case the department or an officer was delaying matters or not doing their work—CMIT was to bring important matters related to functions of government departments and officers to the notice of chief minister for his consideration and necessary orders—CMIT could entertain complaints pertaining to discharge of duties by a department or an officer, and after obtaining necessary orders could require the department or officer to carry out its functions efficiently and expeditiously—CMIT was strictly required to ensure good governance from provincial government departments and officers and could carry out special assignments related to the working of the departments and officers on instruction of chief minister—- Punjab Government rules of business, 2011, therefore, required CMIT to maintain close liaison with anticorruption department to ensure good governance from its department and officers—- Punjab Government rules of business, 2011 did not permit CMIT to assume investigation power on a private complaint, where a forum and specific authority for the same was provided under a statute— Section 43 & 44-E of the cooperative societies Act, 1925 gave specific powers to registrar cooperative department to conduct inquiries and inspect books of any cooperative society.— S. 44-E of the cooperative societies Act, 1925 gave the registrar the special powers for adopting special measures. CMIT was not an additional or alternate forum for private complaints such as that of present respondent— High court set aside the impugned letter for being against the mandate of Punjab Government rules of business, 2011—Constitutional petition was accepted in circumstances.
